Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the SmartFinLabs platform, websites, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

Your continued use of the Service after we post changes constitutes your acceptance of the updated Terms.

2. Description of Service

SmartFinLabs provides financial analytics, AI-assisted risk scoring, and collection workflows built on the accounting data you choose to import.

Outputs such as risk scores, prioritizations, and assistant suggestions are informational only. They are not financial, legal, tax, or accounting advice, and should not be relied upon as such.

3. Eligibility & Accounts

You must provide accurate account information and keep it current. The Service is organized around organizations; an organization may invite members and assign roles.

You are responsible for safeguarding your credentials and for all activity that occurs under your account and your organization’s members.

4. Customer Data & Imports

You retain all rights to the financial data you import ("Customer Data"). You grant SmartFinLabs a limited, non-exclusive license to process Customer Data solely to provide and improve the Service for you.

You represent and warrant that you have the rights necessary to upload and process the Tally, MIS, and other data you provide.

5. Acceptable Use

You agree not to misuse the Service. In particular, you will not:

• Reverse engineer, decompile, or attempt to derive source code from the Service.
• Scrape, harvest, or access the Service through automated means except via documented APIs.
• Use the Service for any unlawful, infringing, or abusive purpose.
• Upload data you are not authorized to process.

6. Third-Party Integrations

The Service may connect to third-party services such as Tally and Gmail. Your use of those services is governed by their own terms and privacy policies.

We are not responsible or liable for third-party services, their availability, or their handling of your data once it leaves the Service.

7. Billing & Subscriptions

Paid plans may include subscription fees, usage-based charges, and prepaid balance top-ups. Fees are billed in advance or as usage accrues, as described at the point of purchase.

Subscriptions renew automatically unless cancelled. Charges are exclusive of taxes, which you are responsible for. Except where required by law, fees are non-refundable. We may suspend or limit the Service for non-payment.

8. Intellectual Property

SmartFinLabs and its licensors own all rights in the platform, software, models, trademarks, and content, excluding your Customer Data. No rights are granted except as expressly set out in these Terms.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and will protect it with reasonable care.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that risk scores or forecasts are accurate, or that using the Service will improve collections or cash flow.

11. Limitation of Liability

To the maximum extent permitted by law, SmartFinLabs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability is limited to the amounts you paid for the Service in the twelve months preceding the claim.

12. Indemnification

You will indemnify and hold SmartFinLabs harmless from claims arising out of your Customer Data, your use of the Service, or your breach of these Terms.

13. Term & Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, you will have a reasonable window to export your Customer Data, after which it may be deleted.

14. Changes to the Service / Terms

We may modify the Service or these Terms from time to time. For material changes, we will provide notice through the Service or by email. Continued use after the effective date constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of [jurisdiction], without regard to conflict-of-laws principles. Disputes will be resolved in the courts or through the arbitration venue located in [venue].
